A Board Director, also referred to as a Non-Executive Director is an elected position in the company. They are the voice of the shareholders, and they make sure that the company is run responsibly while maximising shareholder value. They are also responsible for setting the strategic objectives of the company and making sure that they are achieved by management.

Most of the time, they are required to make decisions that are both strategic and financial like capital budgets, operating budgets and compensation decisions.
